Aug 8, 2024 at 4:44 PMNTG Germany, a wholly owned subsidiary of NTG Nordic Transport Group A/S, has signed an agreement to acquire 100% of the shares in the German SCHMALZ+SCHÖN Holding GmbH. Founded in 1959, Schmalz+Schön Holding (SSH) specializes in road and logistics services, providing tailored solutions for complex challenges to its long-standing customer base.
(Gelsenkirchen/Stuttgart) SSH is known for its high quality and reliability, operating from its headquarters in Stuttgart and 27 other locations across Germany, with key hubs in Stuttgart, Bautzen, Hamburg, Berlin, and Frankfurt. In addition to its road and logistics services, SSH offers air and sea freight services, which account for about 15% of total revenue. The company employs approximately 330 staff.
In the fiscal year ending December 31, 2023, Schmalz+Schön achieved a revenue of 153.3 million euros and an EBIT of 10.4 million euros. On a pro forma basis, SSH is expected to contribute around 5.5 million euros without synergies, which could impact NTG’s financial outlook for 2024.
Clear Strategic Advantages
The acquisition of Schmalz+Schön is a significant milestone for NTG, as it doubles its revenue in Germany and significantly strengthens its road and logistics network. The corporate culture, decentralized operating model, and core values of SSH align with those of NTG, providing a solid foundation for future growth in the German market.
Jesper Petersen, CEO of Road & Logistics at NTG, comments: “We are very pleased to welcome the Schmalz+Schön team to NTG. This acquisition underscores our goal of expanding and strengthening our European presence in Road & Logistics. With the acquisition of SSH, we significantly enhance our presence in Germany and drive the development of our continental European operations. SSH’s long-standing experience, its groupage capabilities, and its strong customer relationships are a testament to its success, and I am confident that this partnership will open up numerous future opportunities.”
Shared Values on Business and Personal Levels
Frank Penkwitt, owner and board member of Schmalz+Schön Holding, comments: “SSH and NTG are a perfect fit, as they share common values on both a business and personal level. Ensuring stability and continuity for our valued employees, customers, and partners was our top priority in this decision. I am deeply grateful for the unwavering loyalty and support of the employees over the years, and I look forward to continuing my journey with Schmalz+Schön as we join the NTG family. With NTG’s global scale and geographic reach, we can enhance and expand our offerings to provide even better solutions for our customers in the future.”
